You may download one single hard copy of Materials displayed on the Site for non-commercial, personal use only, provided that you do not delete or change any copyright, trade mark or other proprietary notices contained on the Materials.

You may not modify, alter or change any Materials, or distribute, publish, transmit, reuse, repost or use the content of the Site for public or commercial purposes, including, without limitation, text, software, music, images, audio, video and other media.

Unauthorised use of the Materials is strictly prohibited and may constitute a violation of the rights of PepsiCo, its Affiliates and/or third parties, including, without limitation, under copyright laws, trade mark laws and the laws of privacy and publicity.

While PepsiCo uses reasonable efforts to include accurate and up-to-date information on the Site, neither PepsiCo nor its Affiliates makes any warranties or representations as to the accuracy, correctness, reliability or otherwise of such information, and assumes no liability or responsibility for any omissions or errors, including typographical or technical errors, in the content of the Site.

While PepsiCo endeavours to ensure that the Site is normally available 24 hours a day, PepsiCo will not be liable if, for any reason, the Site is unavailable at any time or for any period.

Use of and browsing on the Site is at the user’s own risk. PepsiCo is under no obligation to respond to any such communication.

PepsiCo and its Affiliates maintain a policy of not accepting or considering unsolicited creative ideas, suggestions or materials from the public (“Submissions”). You should therefore not make any Submissions to PepsiCo through the Site or otherwise.

If you nevertheless send us a Submission, it may, to the extent permitted by applicable law, become the property of PepsiCo, and PepsiCo and/or its Affiliates may be free to use it for any purpose, including developing, manufacturing and marketing products, without any obligation or compensation to you.

TRADE MARKS

The trade marks displayed on the Site (the “Trade Marks”), including SUN and the SUN logo, are registered and/or unregistered trade marks of PepsiCo, its Affiliates and/or their respective licensors.

Nothing contained on the Site should be construed as granting, by implication, estoppel or otherwise, any licence or right to use any Trade Mark displayed on the Site, or any licence or right to use any other trade mark owned by a third party, without the prior written permission of the relevant owner.

USER CONTENT

Where PepsiCo allows discussions, chats, postings, transmissions, bulletin boards or other user-generated content on the Site, PepsiCo is under no obligation to monitor or review such information and assumes no responsibility or liability arising from its content.

You must not post or transmit any unlawful, threatening, libellous, defamatory, obscene, scandalous, inflammatory, pornographic or profane material, or any material that could constitute or encourage conduct that would be considered a criminal offence, give rise to civil liability or otherwise violate any applicable law.

PepsiCo may cooperate with law enforcement authorities or comply with court orders requiring the disclosure of the identity of anyone posting such information or materials, where required by law.

OFFERS, COMPETITIONS AND PROMOTIONS

All offers set out on the Site are void where prohibited and may be subject to additional terms and conditions or official rules relating to those offers.

From time to time, PepsiCo and/or its Affiliates may run competitions, free prize draws and promotions on the Site. These will be subject to additional terms and conditions made available at the time of the relevant competition, prize draw or promotion.

GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with English law.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute which may arise out of, under or in connection with these Terms and Conditions or the legal relationship established by them.

If any provision of these Terms and Conditions is deemed unlawful, void or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Failure by either party to exercise any right or remedy under these Terms and Conditions does not constitute a waiver of that right or remedy.

These Terms and Conditions set out the entire understanding and agreement between you and PepsiCo in respect of your use of the Site and supersede any previous agreement relating to the same subject matter.
